This User Agreement ("Agreement") contains the terms and conditions of Your use of the website legalpropnet.com (This Website) and the referral and other services provided through this Website by Legalwise Property Network Ltd (LPN). By accessing this Website or purchasing a referral and/or other service through this Website, You are entering into a legal contract with LPN on these terms and conditions. If You do not agree to these terms and conditions, or if You are under 18 years of age, do not use This Website. Please note that You enter this Agreement as it exists each time You access This Website or purchase any referral or other service through This Website or through LPN. Because we may amend this Agreement at any time by posting amended terms on this website, You should check this Agreement on each visit to the site. Unless stated otherwise, amended terms will be effective when posted but will not affect Your rights or obligations in respect of any services You have purchased previously. This Agreement was last revised on 1 November 2007. Please read the terms of this User Agreement carefully.

1. Disclaimers and Limited Warranty for Advice and Legal Services and all other services provided.

The provision of any referrals and other services through this website or LPN will be subject to the conditions described in this Clause 1. These conditions do not affect Your statutory rights.

1.1. Referrals

If You are seeking legal services, we offer referral services through this Website. The Referral Service will, based on the information You provide, match You with Cyprus solicitors who hold themselves out as practicing in the legal area relevant to Your circumstances ("Referral Solicitors"). After we have supplied the Referral Service, the legal services will be supplied by the Referral Solicitors. Your contract for the provision of the services will be with the Referral Solicitors and You will enjoy all the rights and protection accorded to You by the Law Society of Cyprus and Cyprus law.

1.2. Written Advice

We offer access to a written advice service in relation to specific facts, as more fully described in the part of the site that deals with this service. Once we have taken payment from You, if you are obliged to pay as we also offer free advice, for the written advice our obligation is to provide You through this website with written advice of the length deemed necessary by us. Whilst we seek to fulfill all requests for written advice, it is not always possible to do this due to unusual or complex points of law that Your request may reveal. For this reason written advice service is not available in all circumstances and we reserve the right not to provide You with written advice. If You have requested written advice but we determine, in our sole discretion, that the complexity of these facts renders such advice inappropriate or that for some other reason we are unable to provide it, we will refund all monies paid, if any, for such advice. If written advice is available to You in Your particular circumstances, we will use our best efforts to provide You with the written advice within the Three Day Period. Please note that the written advice supplied through This Website may be subject to certain qualifications or limitations, and will necessarily be based solely on the information that You provide. This may mean that if You provide incomplete information, the written advice may be incomplete as to the applicable law or otherwise.

1.3. Telephone Advice

We offer access to a telephone advice service in relation to specific facts, as more fully described in the part of the site that deals with this service. Once we have taken payment from You for the telephone advice if you are obliged to pay our obligation is to provide You with access to telephone advice as deemed appropriate by us. Whilst we seek to fulfill all requests for telephone advice, it is not always possible to do this due to unusual or complex points of law that Your request may reveal. For this reason the telephone advice service is not available in all circumstances and we reserve the right not to provide You with telephone advice. If You have requested telephone advice but we determine, in our sole discretion, that the complexity of these facts renders such advice inappropriate or that for some other reason we are unable to provide it, we will refund all monies paid, if any, for such advice. Please note that the telephone advice may be subject to certain qualifications or limitations, and will necessarily be based solely on the information that You provide. This may mean that if You provide incomplete information, the advice may be incomplete as to the applicable law.

1.4. Legal Services

We offer access to a number of legal services provided by LPN or by Referral Solicitors introduced to You through this website. Once we have taken a payment from You for the legal service our obligation is to provide such services or to introduce You to Referral Solicitors who will provide You with the legal service You requested at the agreed price. Whilst we seek to fulfill all requests for legal services, it is not always possible to do this due to unusual or complex points of law that Your particular facts or circumstances may reveal. For this reason the legal service that You requested is not available in all circumstances and we reserve the right not to provide You with legal service. If You have requested a specific legal service but we determine, in our sole discretion, that the complexity of the facts or circumstances or any other reason renders the provision of that legal service inappropriate, we will refund any monies paid for such service.

In the case of Solicitor Referrals if the legal service is available to You in Your particular circumstances, and a referral Solicitor has been appointed to you the Referral Solicitors will contact You direct. The first time that You and the Referral Solicitors make contact You must decide whether the Referral Solicitors have suitable expertise in a specific area and/or satisfy any other criteria You may have and whether You wish to retain them.

If You do not wish to retain the Referral Solicitors You must inform us of that fact on the same day that You and the Referral Solicitors first make contact. If You do not inform us on the same day, You will not be entitled to a refund of Your deposit paid, if any.

Please note that once You have retained the Referral Solicitors, any legal services supplied or failure to supply legal services will be the sole responsibility of the Referral Solicitors and, with the single exception of hourly fees, the services they provide will be subject to their terms of trade.

1.5. Free services - POST A QUESTION section

Certain services are provided for free on this website. We reserve the right to charge for these services or any portion thereof by advising you, modify the pricing of, add to, or discontinue the service or any portion thereof without prior notice.

1.6. Your Information

We accept no responsibility for any information that You provide (including any inaccuracies therein) or any failure by You to provide all information required in connection with Your request for advice or legal services or any other services provided by LPN.

1.7. After-Sales Service

We provide after-sales service in respect any work entrusted to us. After-sales service in respect of legal services may at our discretion be provided on such terms as we may specify.

1.8. Limited Warranty

Subject to the foregoing, we represent and warrant that we will use our best efforts to select as Referral Solicitors only solicitors who are qualified to practice in Cyprus and who hold themselves out as practicing in the legal area(s) relevant to Your circumstances, but otherwise expressly disclaim responsibility for any advice or services provided by a Referral Solicitors, for any failure by the Referral Solicitors to provide such advice or services and for the level of expertise of any Referral Solicitors.

2. Performance of our services in relation to Referral Solicitors

Once we have received confirmation of Your payment, if requested by us, and your particular case information:

2.1. We will forward Your contact details and the additional information You provide to the Referral Solicitors that we select

2.2. You will be advised by the Referral Solicitors as to whether the legal service requested is available as set out in Clause 1 above; and

2.3. If the legal service requested is available to You in Your particular circumstances the Referral Solicitors will then provide the service requested as set out in Clause 1 above; and

2.4. If the legal services requested is not available to You in Your particular circumstances, Your deposit money paid, if any, for such service will be refunded as set out in Clause 1 above and Clause 3 below.

3. Cancellation

3.1. Cancellation regarding advice

Our obligations to You concerning advice services are concluded once we have given You access to either written or telephone advice in accordance with Your selection. Once Your request for advice has been received by us, the work is deemed to be in progress. The instant nature of the service means that Your payment in respect of such advice is non-refundable, if payment has been requested and made by you.

3.2. Cancellation regarding legal services

Our obligations to You are concluded once we have introduced a Referral Solicitors to You that practices in the area of law that You requested and is prepared to offer his/her services at the fees agreed between you and the Referral Solicitor. Once the Referral Solicitors and You have made contact You may decide not to retain the Referral Solicitors for any reason whatsoever. If You decide to cancel Your request and not to retain the Referral Solicitors You must contact us by e-mail on the same day that contact was made and inform us of Your decision. Provided that You contact us on the same day, we will refund Your deposit paid with respect to the legal service requested, if a deposit has been paid. At any time subsequent to the initial day of contact between You and the Referral Solicitors You will have no right to cancel Your request to us in relation to legal services and Your payment in respect of such services will therefore be non-refundable.

At any time subsequent to the initial day of contact between You and the Referral Solicitors You may cancel the contract between You and the Referral Solicitors provided You pay for any professional fees, disbursements and other amounts owing to the Referral Solicitors in respect of services rendered up to the date of cancellation.

4. Prices and Payment

The prices, including applicable taxes, for legal services and advice are set out at appropriate points throughout this website, usually adjacent to the title or description of the services to which the price relates. If prices are not listed as such then and in such event prices are to be agreed with us in writing.

Payment for advice must be made in advance in full, and a deposit for legal services must also be paid in advance. These payments can be made by credit/debit card. No legal advice or legal services or other services will be provided until we have received confirmation of payment of these amounts. Any balance and all amounts owing subsequent thereto are to be paid on demand.

The remaining professional fees, disbursements and other amounts owing in respect of legal services will be incurred to the Referral Solicitors providing the legal service and invoiced by the Referral Solicitors and You are responsible for payment of all such amounts in accordance with the invoice.

You explicitly consent to us handling Your personal information, which You have provided for delivery to one or more Referral Solicitors. We shall do our best to ensure that the Referral Solicitors also take adequate security measures in relation to Your information.

11.1.2. Some of the personal information that You supply might include sensitive information, including matter relating to Your health, Your religious beliefs, sexual preferences, union or other memberships, political beliefs or affiliations and similar matters. You explicitly consent to the processing and/or handling by us and/or any Referral Solicitors for the purposes of this Agreement of all sensitive information supplied by You.

12. Suspension or Termination

Operation of This Website may be suspended from time to time, whether for maintenance or repairs or other reasons. We may also terminate Your access to This Website at any time upon notice to You by email or by withdrawing this website, in which case this Agreement will terminate and any services You have purchased but not received as of the date of termination will be provided or, at our option, any monies paid in respect of such services refunded (subject to any right of set off we may have).

13. Effect of Termination

If we terminate this Agreement for cause, You will cease all use of this website and its contents as of the date of termination, except that any rights You may have in respect of services You have already purchased will not be affected.

14. Effect of Invalidity

If any portion of this Agreement is declared invalid or unenforceable, this declaration will not affect the validity or enforceability of the remainder of this Agreement providing the business purpose of this Agreement is not substantially affected.

15. Special Terms and Conditions applicable to specialized services

In addition to your use of the website as set out above you may wish to advertise on this website, purchase property or book a holiday villa or apartment through this website. In addition to the above terms and conditions and without limiting the generality of the above the following terms and conditions will apply and form part of the agreement between you and LPN in respect of the following services.

15.1. Subscription and Membership

15.1.1 To use certain services of legalpropnet.com you must purchase an annual membership on the form provided. You agree to provide true, and current information on the form provided and to maintain and promptly update the information in the event of any charges. If on reasonable grounds we suspect that such information is not true, inaccurate, not current or incomplete, we reserve the right to suspend or terminate your membership or account and refuse all future use of the service or any part thereof without refund of any monies paid.

15.1.2. Username and password

To use certain features on the website you will need a username and a password, which we well be providing during the registration process. You are responsible for maintaining the confidentiality of the password and username and you are responsible for all activities that occur under your account. You shall and to immediately notify us of any unauthorized use of your password or username immediately this comes to your attention. We will not be held responsible or liable for any loss or damage arising from your failure to protect your username or password.

15.1.3. You may not sell, trade with, cede or assign to transfer your membership to another person.

15.2. Online Banking Services

15.2.1. Our online banking services enable you to make reservations for our advertisers/clients holiday rental properties online.

15.2.2. We do not guarantee the terms, conditions, availability, and /or services offered by any holiday rental owners or managers. For all of such services we are not involved in any transactions between you and any of our advertisers, and we are not responsible for, and do not guarantee the performance of any goods, services or information provided by holiday rental owners or managers. If you have dispute with one or more holiday rental owners or managers you agree to release and hereby release LPN (and LPN's officers, directors, agents, subsidiaries, affiliates, employees, successors, assigns, content providers and service providers) from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed arising out of or in any way connected with such disputes.

15.3. Purchasers of property through legalpropnet.com

15.3.1. We are not a registered estate agency. Our website acts as a broadcast service for sellers of property. We are not involved in the actual transaction. As a result, we have no control over the quality, safety or loyalty of the property or items advertised, the truth or accuracy of the listings, the ability of sellers to sell property or items or the ability of buyers to buy property or items. We cannot ensure that a buyer or seller will actually complete a transaction.

15.3.2. Because we are not involved in the actual transaction between buyers and sellers, in the event that you have a dispute with one or more advertisers you release us (and our officers, directors, agents, subsidiaries and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

15.3.3. Please use common sense when purchasing property. Due diligence and inspections are a must and should be part of the purchase of any property. Always use a registered solicitor in Cyprus when purchasing property or anything of significant value.

15.4. Renters of Properties

15.4.1. In accepting any bookings for any of the properties listed on our website we do so as an agent of the owner of the property. We thus accept no liability whatsoever for any aspect of the arrangements and, in particular, we accept no liability for any loss, personal injury or death howsoever incurred. Although we use all resources at our disposal to ensure information provided and the quality and facilities of the rental properties, we accept no liabilities whatsoever for any problems that occur while guests occupy the property of their choice. All information has been provided in good faith and no liability is accepted whatsoever by LPN for any misrepresentation of the property material or accommodation.

15.4.2. Payments

If you are paying by credit card please note that there will be a service charge levied. All credit card transactions will be processed to the equivalent Cyprus currency amount which may lead to fluctuations in the rate of exchange.

15.4.3. Cancellation by you

You may cancel your booking at any time. However no refund will be made for any monies already paid. Travel insurance is thus strongly recommended.

15.4.4. Cancellation by the property owner

If deemed necessary we reserve the right to withdraw or cancel the property booking. In this event you will be offered the choice of renting another property listed on our website or of receiving a full refund of all monies paid on the booking. We will not be liable for any compensation to you in such event.

15.4.5. Behavior

It is your responsibility to ensure that all members of your party occupying the property behave in an ordinary fashion and that your behavior does not cause offence or danger to others or which risks damage to the property or its contents. In violation of this term and condition LPN and/or the owner of the property reserve the right to terminate the agreement for the rental of the property and you will be obliged to immediately vacate the property. In such event you will have no claim against either LPN or the owner for refund of any monies paid or for compensation. Furthermore you will be liable to compensate LPN and/or the owner of any expenses and/or damages sustained or incurred as a result of your behavior.

15.4.6. Breakages and Cleanliness

The booking is accepted and agreement reached in regard thereto and material terms of such agreement are that the property will be left clean and tidy at the time of checkout and all wastes/refuse must be removed from the property or placed in refuse bins provided. You will be held responsible for any damage or breakages to the property or its contents or for any missing contents listed on the inventory. LPN shall be entitled to deduct such costs from any deposit held or paid by you to LPN.

15.4.7. Air conditioning

All units are to be used with all windows and doors closed. Under no circumstances are the units to be left on whilst the property is unoccupied.

15.4.8. Check in and out

Check in times will be on the first date of the booking and not earlier than 2 pm of such date. Check out is strictly at 10 am unless otherwise agreed with us in writing. Any discrepancies in checking out will be charged accordingly.

15.4.9. Special Discount

From time to time various discounts may be offered on property listed on our website. The cost payable by you is the advertised price of the property at the time of booking.

15.4.10. Health and Safety

Every care is taken to ensure the safety of the property and all its contents including appliances. We do not accept responsibility for any ill health or sickness during your stay whilst renting any property listed on our website or for any loss, personal injury or death howsoever caused or incurred.

15.4.11. Building works

Any building work which may commence or be carried out in the local area or vicinity of the property is outside our control and we cannot be held responsible for any resulting disturbance. However should we become aware of any building work which may be considered to adversely affect the enjoyment of your holiday we will notify you as soon as possible and wherever possible offer you an alternative property.

15.5. Owners/Advertisers of Property for Rent

15.5.1. By listing your holiday property you agree that we assume no responsibility for the actions of renters of properties or for any damage caused to the property or its contents by renters.

15.5.2. No refunds will be given for unissued service in the event of a cancellation. In the event of you selling your property you can transfer your listing for a fee.

15.5.3. We provide you with no guarantee or warranty that your property will be rented out for any specific period.

15.6. All Advertisers

15.6.1. When you submit a listing or classified advertisements for publication on this website you agree that the advertisement as it appears and as may be amended becomes the property of LPN and you assign all ownership interest in the advertisement under copyright law or otherwise. Submission of an advertisement does not constitute a commitment to publish the advertisement, and publication of an advertisement does not constitute an agreement for continued publication. We also reserve the right to edit, reclassify, revise, reject or cancel any advertisement at any time, in our sole discretion.

15.6.2. You may revoke your registration at any time. If you cancel your registration, any advertising campaign, advertisement, service or posting which you have purchased through LPN will be cancelled and no refund will be made for any services you have ordered prior to canceling your registration.

15.6.3. We make no representation, guarantee or warranties that your advertising campaign or advertisement on our website will generate any income or business for yourself or your firm or your company.

15.7. Participation in Promotions of Advertisers

Any dealings with advertisers on this website including the delivery of and the payment for goods and services, and any other terms and conditions, warranties or representations associated with such dealings are solely between you and the advertiser.

16. Nature of information on the website

All material on this website merely constitutes an invitation to do business and is not to be construed as an offer to enter into any transaction.

17. No Waiver

A failure by us to enforce at any time any term or condition of this agreement shall not be considered as a waiver of our rights to enforce strict compliance therewith at a later stage.

18. Headings

The headings contained in this agreement are for convenience only and shall not affect the construction of any provision of this agreement.

19. Assignment

You may not cede or assign, convey, subcontract or delegate your rights, duties or obligations hereunder.

20. Admissibility in Legal Proceedings

A printed version of this Agreement will be admissible in judicial or administrative proceedings based on or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

21. Law and Jurisdiction

Complaints in respect of legal services should be sent directly to the Referral Solicitors providing the services, at the address for the solicitor given in their correspondence and a copy sent to us at the same time.

Definitions

"You" means the legal person entering this Agreement (whether an individual, a company or any other legal entity), and includes anyone reasonably appearing to us to be acting with Your authority or permission.
